Work you’ll do

The Legal Counsel will play a key role in supporting the Firm’s client contracting portfolio, including managed services, reselling and alliance arrangements, and complex service engagements. The role requires strong experience in structuring, drafting and negotiating commercial contracts, including master service agreements, statements of work, subcontracting arrangements and other client-facing agreements. The individuals should possess strong business understanding, sound judgment, and the ability to simplify and communicate legal concepts to non-legal stakeholders

This will need you to interact and collaborate closely with partners and other senior professionals within the firm, the quality and risk management teams of various functions in the firm, and client professionals, to ensure that contracting solutions are practical, risk-balanced and commercially viable. You will help your team members to grow and contribute meaningfully to the Firm, creating/maintaining an open, respectful and professional environment.

Key Responsibilities:

  • Lead drafting, review, and negotiation of complex client and subcontractor contracts, including MSAs, SOWs, change orders, NDAs and service-galore schedules.
  • Provide legal support on data privacy matters arising in client contracts, including review of data protection terms, DPAs, cross-border data transfer mechanisms and alignment with global standards (GDPR, DPDP Act, etc.).
  • Structure and negotiate reselling, alliance and collaboration agreements with various entities, ensuring alignment between contractual terms, commercial intent and the end-use business model.
  • Contribute to deal structuring by aligning contractual terms with the commercial construct, pricing, delivery and risk frameworks agreed with the business to ensure that client contracts accurately reflect the intended commercial arrangement, operational dependencies and performance commitments.
  • Partner with cross-functional stakeholders to evaluate contracting positions and recommend solutions that balance commercial flexibility with compliance.
  • Collaborate with global contracting teams and cross-border functions to align on deal structuring, flow-down obligations and client governance requirements.
  • Support the development and continuous improvement of templates, playbooks and contracting process documentation to drive consistency and efficiency.

 

Requirements:

  • Bachelor of Laws (LL.B.) from a recognized institution.
  • 6 - 12 years of post-qualification experience in client facing commercial contracting or technology/service agreements.
  • Strong track record in drafting and negotiating client-facing and subcontracting agreements, including cross-border transactions.
  • Prior exposure to outsourcing, managed services or professional services contracting is preferred.
  • Experience in data privacy related contracting (including review of data protection clauses and DPAs) will be an added advantage.
  • Demonstrated ability to work in cross-functional and multi-stakeholder environments.

 

Skills and Capabilities:

  • Strong legal and commercial judgment, with ability to balance risk and business objectives.
  • Excellent drafting, communication and stakeholder management skills.
  • Ability to independently structure and negotiate deals, and to interpret and explain complex legal issues in business language.
  • Good understanding of business, and financial impact of contractual terms, including service delivery constructs such as SLAs, baselining, transition, exit frameworks, etc.
  • Strong analytical and risk-spotting skills with a solution-oriented mindset.
  • Team-oriented and collaborative; able to work effectively within a matrixed organization.
  • Leadership and ‘senior level’ mindset. Must be a team player.
