The role will focus on standardization, compliance, and data-driven governance, ensuring both new and legacy contracts are centrally managed, digitally enabled, and actively monitored. The consultant will support business units by improving contract transparency, reducing risk exposure, and enabling better commercial control. This position will also leverage CLM tools, analytics, and automation to drive contract lifecycle efficiency, improve compliance adherence, and generate actionable insights for proactive decision-making.

Key responsibilities for the Consultant will include:

1. Contract Lifecycle Management

  • Ensure all new contracts are created, executed, and stored in designated CLM platforms
  • Support standardized drafting using approved templates and clause libraries
  • Drive centralization of legacy contracts through structured tracking and digitization
  • Manage contract repository governance (with accurate metadata tagging), including version control and audit traceability

2. Contract Governance & Monitoring

  • Monitor key contract terms (pricing, payment terms, key clauses) for adherence
  • Track contracted spend vs. actual spend to identify deviations and leakage
  • Provide visibility into contract expiries, obligations, and risks through structured tracking
  • Act as a central coordination point for contract-related queries and escalations

3. Obligation & Performance Management

  • Identify and structure contractual obligations, milestones, and SLAs/KPIs to enable tracking of milestones, deliverables, and supplier performance
  • Support validation of deliverables against contractual terms and provide inputs into supplier performance reviews in collaboration with SRM teams
  • Track penalties and rebates as per contract conditions

4. Compliance, Risk & Audit Support

  • Ensure contracts adhere to internal policies and regulatory requirements
  • Support compliance checks and deviation tracking for non-standard clauses
  • Maintain audit-ready documentation, including approvals, versions, and contract history
  • Identify and escalate risk areas (compliance gaps, contract lapses, deviations)

5. Renewal & Amendment Management

  • Track contract expiry timelines and trigger timely alerts for renewals as well as support decision-making (renew vs renegotiate vs terminate) with inputs on performance and benchmarks
  • Manage amendment of documentation and version control
  • Coordinate cross-functional approvals for amendments

6. Technology & Automation as Success Enablers

  • Leverage CLM systems to streamline contract lifecycle processes
  • Develop and maintain contract health dashboards (expiry, compliance, performance) to provide regular updates (as per cadence) to the leadership team
  • Generate insights through trend analysis on meta data, contracts, amendments, and performance data to enable data-driven governance discussions with stakeholders

Key Objectives

  • Build a centralized governance framework for contract lifecycle management across BUs
  • Enhance visibility, compliance, and control over new and legacy contracts
  • Drive risk-aware contract practices aligned with enterprise policies
  • Enable leadership with data-driven insights and decision support
  • Define a contract performance management framework, including obligation tracking, milestone monitoring, and KPI measurement
  • Establish fit-for-purpose engagement plans and review mechanisms to improve contract compliance, performance, and responsiveness
  • Identify and define critical contract insights by leveraging contract metadata to drive advanced analytics and organizational visibility

What does success look like?

  • Contract lifecycle is fully governed, visible, and controlled across BUs
  • Contract repository is structured and optimized (centralized and digitized)
  • Leadership has high confidence in contract data and reporting by BU
  • Risk exposure is proactively managed (compliance gaps, contract lapses, deviations)
  • Processes are standardized and scalable across geographies
  • Achieve sustained behavioral change in how contracts are managed
  • Deliver improved compliance, efficiency, and risk mitigation
  • Contract obligations and performance KPIs are defined, measured, and regularly reviewed
  • Underperforming contracts are identified early, with clear action plans for remediation, renewal, or exit where needed
  • Spearhead the development of enhanced analytics by identifying key performance indicators and critical insights embedded within contract metadata to improve organizational visibility
